1. Introduction

Welcome to NextGenTool. These Terms & Conditions ("Terms") govern your access to and use of nextgentool.in and any related services provided by NextGenTool ("we", "us" or "NextGenTool"). By accessing or using our website and services you agree to be bound by these Terms. If you do not agree, do not use our services.

2. About NextGenTool

NextGenTool operates a marketplace for digital products including but not limited to PHP scripts, Android apps (source and APKs), Excel dashboards, UI kits, plugins, and other digital assets ("Items"). NextGenTool facilitates transactions between Buyers and Sellers (Authors). Ownership of Items remains with the respective Authors unless otherwise specified in a license accompanying an Item.

3. Scope of the Agreement

These Terms apply to all users of NextGenTool (Visitors, Buyers, Authors and Sellers). Additional policies (Privacy Policy, Acceptable Use, Seller Guidelines, Item License) are incorporated by reference. You must read and accept all applicable terms before using the service.

4. Accounts & Eligibility

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

5. Listings, Licensing & Use of Items

Authors list Items for sale and specify the license under which each Item is offered. When you purchase an Item you acquire only the license rights described with that Item — you do not acquire ownership of the Item itself. It is your responsibility to choose the correct license for your intended use.

6. Author Warranties & Responsibilities

Authors warrant they have the rights to license the Items they list and that Items will not knowingly infringe third-party rights. Authors are responsible for Item descriptions, previews and support terms. NextGenTool does not guarantee or warrant Item quality — Buyers should review Item previews and documentation before purchase.

7. Pricing, Payments & Fees

Item prices are shown on the Item page and may include buyer fees, handling fees, or taxes where applicable. Payments are processed through third-party payment processors; NextGenTool does not store or process your payment card details directly. You agree to pay all fees displayed at checkout and any applicable taxes.

8. Refunds & Returns

Due to the digital nature of Items, refunds are limited. Refund requests will be considered according to our Refund Policy and at our discretion. Common reasons for refund denial include buyer's remorse, mistaken purchase, or lack of technical skill to use an Item. If a refund is approved we will generally refund via the original payment method.

9. Intellectual Property

All Items remain the intellectual property of their respective Authors unless expressly stated otherwise. You may not remove copyright notices, watermarks, or other protective markings from Items. If you believe an Item infringes your IP rights, contact us at support@nextgentool.in and provide sufficient information for us to investigate.

10. Acceptable Use & Prohibited Conduct

You must not use NextGenTool to: (a) upload malware or illegal content; (b) attempt to gain unauthorized access to systems; (c) scrape, mass-download or replicate our catalog; (d) infringe others' rights; or (e) impersonate others. Breach of acceptable use may result in suspension or termination of your account.

11. Limitation of Liability & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTGENTOOL AND ITS AFFILIATES PROVIDE THE SERVICE "AS IS" AND DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED). NEXTGENTOOL WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, OR FOR LOSS OF PROFITS, DATA OR REVENUE. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES IS LIMITED TO THE GREATER OF ₹7,500 (INR) OR THE TOTAL AMOUNT YOU PAID TO NEXTGENTOOL IN THE PRIOR 12 MONTHS.

12. Indemnification

You agree to indemnify, defend and hold harmless NextGenTool from any claims, losses, liabilities or expenses arising from your violation of these Terms, your use of Items, or your breach of any third-party rights.

13. Termination

We may suspend or terminate accounts that breach these Terms, engage in fraudulent activity, or present a legal risk. You can close your account at any time. Sections that by their nature should survive termination (e.g. IP, indemnity, limitation of liability) will continue to apply.

14. Privacy

Our Privacy Policy explains how we collect, use and share your personal data. By using NextGenTool you consent to our data practices as described in the Privacy Policy.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved in the courts located in India, unless the parties agree otherwise in writing.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised Terms on this page with an updated "Last revised" date. Continued use of the service after changes indicates your acceptance of the new Terms.

Definitions: "Buyer" means a person who purchases an Item; "Author"/"Seller" means a person who lists Items for sale; "Item" means a digital product listed on NextGenTool. Other capitalised terms are defined in the text above where used.
